Case Study - Diagnostic Imaging

In the late 1990s, AGI began to assist a number of privately owned diagnostic imaging healthcare businesses in the U.S. with studying their strategic alternatives.  At the same time, the Pritzker family of Chicago was considering for disposal a number of their healthcare businesses including 11 diagnostic imaging centres. 

With its accumulated knowledge, contact base and experience in this sector, the firm was in a strong position to assist the existing managements of these 11 diagnostic imaging centres in finding new equity.  This equity was invested by independent institutional sources and, notably, by doctors who were involved in the businesses. 

The result was that the 11 centres, which were located in the north-west, south-east, mid-west and south-west of the U.S., were spun off into separate entities whose equity was owned partly by participating doctors, partly by management and the balance by institutional investors with significant diagnostic imaging investing experience.  The total transaction value was in excess of $50 million. 

Since the successful conclusion of these transactions, AGI has worked with three other diagnostic imaging businesses in restructuring their equity.  In addition, the firm is currently engaged by both publicly- and privately-owned imaging businesses in assessing their strategic alternatives.  These companies are intent on playing leading roles in the consolidation of the US diagnostic imaging market and also in the expansion of diagnostic imaging in Europe and in the Far East.  

AGI’s clients in this sector range in size from businesses that own as few as a handful of diagnostic imaging centres to those that own as many as several hundred imaging centres.
